1. ACCEPTANCE OF THESE TERMS OF USE

1.1 Binding Agreement. These Terms of Use constitute a legal agreement and are entered into by and between you and Little World Sleep Consulting (“we”, “us”, “our”) so please read them carefully. These Terms of Use, together with any documents and/or additional terms they expressly incorporate by reference (collectively, the “Terms”), govern your access to and use of our services, content, and website (such services, content, and website, collectively the “Services”).

1.2 Acceptance. By accessing, using, purchasing, or receiving any of the Services, or by clicking a button or checking a box indicating that you accept these Terms, you accept and agree to be bound and comply with these Terms and our Privacy Policy, found at https://littleworldsleep.com/privacy-policy herein by reference. If you do not agree to these terms or the Privacy Policy, you must not access, use, purchase, or receive any of the services.

1.3 Age of Majority. You represent and warrant that you are the legal age of majority under applicable law to form a binding contract with Little World Sleep Consulting and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access, use, purchase, or receive any of the Services.

1.4 Entity. If you are accessing, using, purchasing, or receiving any of the Services on behalf of an entity, then you represent and warrant that you: (i) are an authorized representative or agent of that entity with the authority to bind such entity to these terms; and (ii) agree to these terms on behalf of such entity. In such a circumstance, the words “you” and “your” as used in these terms will refer to and apply to both that entity and you personally.

1.5 Notice of Waiver of Class Action. Article 11 of these terms contains a waiver of your right to participate in class actions against Little World Sleep Consulting and its affiliates.

2. MODIFICATION

2.1 Modification of Terms. We reserve the right to amend these Terms and any document referred to herein, or any part thereof, at any time, by posting the amended version on this website. The most current version of these Terms will govern your use and access of the Services, including without limitation any content made available on or through the Services. These Terms may not be amended in any other way except through a written agreement by authorized representatives of each party.

2.2 Modification of Services. The Services may be changed, withdrawn, or terminated at any time in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is restricted or unavailable at any time or for any period.

3. DATA AND SECURITY

3.1 Registration. To access our Services, you may be requited to complete the intake process that may involve: (a) providing contact information, such as your name, phone number, address, and email address; (b) providing your medical history and records; (c) providing payment and billing information; and (d) and providing us with any other information we request during the intake process.

3.2 Client Data. During the intake process, you will provide true, accurate, current, and complete information about yourself as prompted (such information being the "Client Data"). You will also maintain and promptly update your Client Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Little World Sleep Consulting has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete, Little World Sleep Consulting has the right to refuse provision of any and all current or future Services to you. You should exercise caution when providing or accessing your Client Data from a public or shared computer so that others are not able to view or record your personal information.

3.3 Phone Number. By providing us with a phone number, you consent to receive calls and text-messages (SMS) from us and our affiliates regarding the Services. Standard rates apply. Subject to reasonable processing times, you may opt-out of these communications by using the unsubscribe mechanism provided to you.

3.4 Client Data Deletion. You may delete your Client Data by emailing us at info@littleworldsleep.com with your deletion request.

4. PROVISION OF THE SERVICES

4.1 Service Packages. We make available various service packages (each, a “Service Package”), that involve the provision of behavioural sleep guidance. The price of our Service Packages are subject to change. We reserve the right to decline to provide Services to any person in our sole discretion, even if such Service Package is generally marketed through our website.

4.2 Limitations of Service Packages. Our role is strictly limited to providing behavioural sleep guidance.

YOU ACKNOWLEDGE AND AGREE THAT:

a) We are not a clinic, physician, doctor, specialist, healthcare, or medical professional;

b) We do not provide medical advice or make medical recommendations, and nothing we communicate (whether through our website, social media platforms, representatives, or otherwise) should be interpreted as medical advice;

c) We make no representations, warranties, or guarantees regarding sleep outcomes; and

d) Your decision to engage with Little World Sleep Consulting is made at your own discretion and risk.

5. INTELLECTUAL PROPERTY

5.1 Trademarks. Little World Sleep Consulting and related words and logos, as well as the names of other products or services of Little World Sleep Consulting, are trade names, trade-marks or registered trademarks of Little World Sleep Consulting. Any unauthorized use of any of these trade names or trademarks is prohibited.

5.3 No Reproduction. Any copying or reproduction of these materials for commercial purposes without the permission of Little World Sleep Consulting is strictly prohibited. The distribution, re-transmission, republication, modification, reverse engineering, sale, or other exploitation of this website or any of the contents of the Service Package without the permission of Little World Sleep Consulting are also prohibited.

6. RELIANCE

6.1 No Professional Advice. The content contained on our website is provided for general informational purposes only. It does not constitute medical advice and has not been tailored for your circumstances.

6.2 Availability. We do not represent, warrant or guarantee in any way our website's continued availability at all times or uninterrupted use by you of our website. You acknowledge that access and use of our website may be subject to bugs, malfunctions, delays, and downtime. You recognize that, due to the nature of the internet and electronic devices, your access and use of our website may be inhibited or affected by factors outside of our control.

6.3 Accuracy of Content. Although we work to provide you with accurate content, mistakes sometimes happen and we do not warrant that any content is or remains available, accurate, complete and up to date, free from bugs, errors or omissions or fit or suitable for any purpose.

7. THIRD-PARTY WEBSITES, CONTENT, AND SERVICES

7.1 Third-Party Content. From time to time we may link to other websites or provide third-party content through the Services solely as a convenience to you. The provision of this content does not imply an endorsement of any linked websites or an affiliation with their owners or operators. Little World Sleep Consulting has no control over the content of any linked website and your use of such website may be subject to a third-party’s terms and conditions and privacy policy. The content on third-party websites is the sole responsibility of the owner or operator of the linked website.

7.2 Third-Party Services. The Services may be made available through third party providers. We do not control such third parties. When accessing the Services through a third party, your use of the Services may also be subject to the terms and conditions, and privacy policy, of such third party. We do not warrant, endorse, guarantee, provide any conditions, warranties, or representations, or assume any responsibility or liability for any information, content, product, or service advertised, offered, made available, or performed by any third party unless we expressly say so and we will not be a party to any transaction that you may enter into with any such third party.

8. MEDICAL SERVICES DISCLAIMER; ASSUMPTION OF RISK

Your use of our Services, including, without limitation, our website, related content, and any Service Package, is at your own risk. Our Services are provided on an “as is” and “as available” basis, without any warranties, whether express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, or non-infringement, except to the extent such warranties cannot be excluded under applicable law.

You acknowledge and agree that Little World Sleep Consulting does not provide medical, professional, or health advice, and is not a healthcare provider.

Our Services are not a substitute for individualized advice from a qualified healthcare professional in your home jurisdiction. You are solely responsible for consulting your own physician or other licensed health provider, especially if you or your child(ren) have pre-existing medical conditions, allergies, or other risk factors.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LITTLE WORLD SLEEP CONSULTING, ITS AFFILIATES, OR LITTLE WORLD SLEEP CONSULTING’S OR ITS AFFILIATES’ RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, SUBSIDIARIES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING ANY DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF USE, LOSS OF DATA, LOSS OF REVENUE OR PROFIT, COST OF CAPITAL, LOSS OF BUSINESS OPPORTUNITY, LOSS OF GOODWILL, PERSONAL INJURY, DEATH, PAIN AND SUFFERING, OR EMOTIONAL DISTRESS, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF PRIVACY, OR ANY OTHER THEORY OF LIABILITY OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Little World Sleep Consulting, its affiliates, its affiliates’ respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, subsidiaries, successors, and assigns from and against any third-party claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) (collectively, “claims”) arising out of or relating to: (a) your breach of these Terms; (b) your use, access, or receipt of the Services; or (c) any acts you take or fail to take. You agree that if any of the foregoing indemnified parties are the defendant, recipient, or target of a claim, such indemnified party may take exclusive control of the defense or settlement of such claim made against them.

11. WAIVER OF CLASS ACTION

You hereby agree to waive any right you may have to commence or participate in any class action against Little World Sleep Consulting or its Affiliates, or either of their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, subsidiaries, successors, and assigns related to any claim and, where applicable, you also agree to opt out of any class proceedings against Little World Sleep Consulting or its Affiliates.

12. GENERAL

12.1 Survival. Articles and Sections 4, 5, 6, 7, 8, 9, 10, 11, and any warranties you provide under these Terms, and all other provisions of these Terms which must survive termination of these Terms to fulfill their purpose will survive termination of these Terms or the termination or deletion of your File.

12.2 Entire Agreement. This Agreement, together with our Privacy Policy and any and all Contracts entered between us, constitute the sole and entire agreement between you and Little World Sleep Consulting regarding the Services and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.

12.3 Supplemental Contracts. Your use of and access to the Services is subject to any other written and duly executed contracts you may have with Little World Sleep Consulting.

12.4 Waiver. No waiver of any of these Terms is effective unless it is in writing and signed by an authorized representative of the party waiving its right. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these Terms operates, or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.

12.5 Governing Law & Venue. These Terms and the Services are governed and interpreted pursuant to the laws of the Province of British Columbia, Canada and the federal laws of Canada applicable therein, without regard to principles of conflicts of law that would impose the law of another jurisdiction. You agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

You submit to the exclusive jurisdiction of the courts of the Province of British Columbia.

12.6 Assignment. We may assign these Terms in part or in their entirety, including our rights, interests, and obligations hereunder, without notice to you or your consent. These Terms are personal to you and you may not assign these Terms nor your rights, interests, or obligations under these Terms to any person without our express written consent.

12.7 Severability. If any term or provision of these Terms is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of these Terms or invalidate or render unenforceable such term or provision in any other jurisdiction.

12.8 Headings. Headings are for convenience only and shall not affect the interpretation of these Terms.

12.9 Language. The parties acknowledge that these Terms, and all related documents (including any Contract and the Privacy Policy) will be prepared in English. If these Terms are translated into another language, the English language text shall in any event prevail. Unless the context otherwise requires, words importing the singular include the plural and vice versa, and words importing gender include all genders. Where the word or phrase “such as”, “including” or “includes” is used in these Terms, it means “including (or includes) without limitation.”

12.10 Enurement. These Terms will enure to the benefit of and be binding upon the parties to these Terms and their respective successors, heirs and permitted assigns.

12.11 Further Assurances. You agree to provide such further documents or instruments, and take such further actions, reasonably requested by Little World Sleep Consulting, to effect the purposes of these Terms and carry out its provisions.

12.12 Force Majeure. In no event will Little World Sleep Consulting be liable or responsible to you, or be deemed to have defaulted under or breached these Terms, for any failure or delay in fulfilling or performing any term of these Terms, when and to the extent that such failure or delay is caused by any circumstances beyond Little World Sleep Consulting’s reasonable control, including acts of God, flood, fire, earthquake, tsunami, extreme weather events, snow or ice storms, impassable terrain or roads, explosion, war, terrorism, invasion, riot or other civil unrest, embargoes or blockades in effect on or after the date of these Terms, national or regional emergency, strikes, labour stoppages or slowdowns or other industrial disturbances, passage of law or any action taken by a governmental or public authority, including imposing an export or import restriction, quota or other restriction or prohibition or any complete or partial government shutdown, or national or regional shortage of adequate power or telecommunications or transportation.

12.13 Notice. Little World Sleep Consulting may give notice to you by email, letter, or SMS to the applicable address or number you provide on your File or by notice posted on our website. You may provide legal notices to us by email at info@littleworldsleep.com.
